Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Alpha AI AS ("we", "us", "our"), a company registered in Norway, governing your access to and use of the Sam platform at viasam.app ("Service").

By registering an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable supplementary agreements. If you are accepting on behalf of a legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Sam is a multi-tenant Software-as-a-Service (SaaS) chatbot platform that enables businesses to deploy AI-powered chat widgets on their websites, manage customer conversations, capture leads, and analyse interaction data. The Service includes:

  • A web-based dashboard for managing chatbot configuration, conversations, and analytics
  • A JavaScript widget embeddable on third-party websites
  • AI conversation capabilities powered by OpenAI's language models
  • A knowledge base system for custom training data
  • Lead and contact management tools
  • Team management and notification features

3. Account Registration and Eligibility

To use the Service you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorised use of your account at security@viasam.app

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription Plans and Trial Period

4.1 Free Trial

New accounts receive a 7-day free trial with access to core features. No payment information is required during the trial. At the end of the trial period, access to the Service will be restricted until a paid plan is selected.

4.2 Paid Plans

Paid subscription plans are billed monthly in Norwegian Kroner (NOK) via Stripe. Current pricing is published at viasam.app. We reserve the right to modify pricing with 30 days' written notice.

4.3 Payment

Subscriptions are billed in advance on a monthly basis. Payments are processed securely by Stripe, Inc. All prices are exclusive of VAT. Norwegian VAT (currently 25%) will be added where applicable under Norwegian tax law.

4.4 Cancellation and Refunds

You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months, except where required by Norwegian consumer law (Angrerettloven) for consumers exercising their 14-day right of withdrawal on digital services.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including the Norwegian Marketing Act (Markedsføringsloven) and the Electronic Communications Act (Ekomloven)
  • Transmit spam, unsolicited messages, or engage in deceptive marketing practices
  • Collect personal data from end users without a valid legal basis and appropriate disclosure under GDPR
  • Impersonate any person or entity or misrepresent your affiliation
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means to scrape, crawl, or extract data from the Service beyond normal API usage
  • Introduce malware, viruses, or other harmful code
  • Engage in any activity that disrupts or interferes with the Service or its underlying infrastructure
  • Exceed the conversation, widget, or team member limits of your subscription plan

We reserve the right to suspend accounts that violate these provisions without prior notice.

6. Intellectual Property

6.1 Our IP

The Service, including all software, designs, trademarks, and content created by Alpha AI AS, is our exclusive property and protected under Norwegian and international intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

6.2 Your Content

You retain all intellectual property rights in the content, data, and materials you upload to the Service ("Customer Content"), including knowledge base documents, conversation transcripts, and lead data. You grant us a limited licence to process and store your Customer Content solely to provide the Service.

6.3 Feedback

Any feedback or suggestions you provide regarding the Service may be used by us without restriction or compensation to you.

7. Data Processing and Privacy

By using the Service, you act as a data controller for personal data relating to your end users (website visitors who interact with your chatbot). Alpha AI AS acts as a data processor on your behalf.

You are responsible for ensuring that you have a valid legal basis under GDPR Article 6 to collect and process personal data through the widget, and that your end users are informed about such processing in your own privacy policy.

Our processing of your data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement (DPA) which is incorporated into these Terms by reference. A copy of our standard DPA is available upon request at privacy@viasam.app.

8. Service Availability and Support

We aim to provide a reliable service but do not guarantee 100% uptime. We will make reasonable efforts to notify customers of planned maintenance. The Service is provided on an "as is" and "as available" basis.

Support is provided via email at support@viasam.app. Response times vary by plan.

9. Limitation of Liability

To the maximum extent permitted by Norwegian law, Alpha AI AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability under these Terms shall not exceed the amounts paid by you to us in the three (3) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Norwegian mandatory law, including rights under the Norwegian Consumer Contracts Act (Forbrukerkjøpsloven) for consumer customers.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alpha AI AS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Content; (c) your violation of any third-party rights; or (d) your failure to comply with applicable data protection law.

11. Term and Termination

These Terms remain in effect for as long as you maintain an account. Either party may terminate for convenience with 30 days' notice. We may terminate immediately if you breach these Terms.

Upon termination, your access to the Service ceases. We will retain your data for 30 days after termination to allow data export, after which it will be permanently deleted in accordance with our retention policy.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notification at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the Oslo District Court (Oslo tingrett).

Consumer customers in Norway have the right to bring complaints to the Consumer Authority (Forbrukertilsynet) at forbrukertilsynet.no, and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
